The Company's Quarterly Report on Form 10-Q for the quarter ended April 30, 2009 cannot be filed within the prescribed time period because the Company requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-Q. The report will be filed on or before the fifth calendar day following the prescribed due date.

For the three and six month periods, the registrant is expected to report losses of approximately $1,316,545 and $187,559, respectively, compared to $3,435,770 and $2,558,340, respectively, for the same prior year periods.  These changes are due primarily to currency translations.
