Amendment Description This Amendment No. 1 on Form 10-K/A (this “Amendment”) amends the Annual Report on Form 10-K of Coda Octopus Group, Inc. (the “Company”) for the fiscal year ended October 31, 2025, originally filed with the Securities and Exchange Commission on January 29, 2026 (the “Original Form 10-K”). The Original Form 10-K inadvertently omitted the signature of Frazier & Deeter, LLC on its report of the Company’s independent registered public accounting firm included in Item 8. This Amendment is being filed solely to include the properly signed audit report.   No other changes have been made to the Original Form 10-K. This Amendment does not reflect events occurring after the filing of the Original Form 10-K and does not modify or update the disclosures contained therein in any way other than as described above.   In accordance with Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Amendment sets forth in full the financial statements required by Item 8. In addition, the certifications of the Company’s principal executive officer and principal financial officer are filed as exhibits to this Amendment.
